Terms & Conditions — Frizerly (Prodmagic LLC)

These Terms & Conditions ("Terms") govern your access to and use of Frizerly, a service operated by Prodmagic LLC ("Company," "we," "us," or "our"). By using Frizerly (the "Service"), you ("User," "Customer," or "you") agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Service

Frizerly provides AI-assisted blog generation, automated publishing, SEO tools, keyword discovery, competitor analysis, and related services. The Service is provided strictly "as is" and "as available" without warranties or guarantees of any kind.

2. No Guarantee of Results

  • We do not guarantee that use of the Service will improve search rankings, traffic, sales, revenue, conversions, or any particular outcome.
  • Examples, testimonials, or case studies are illustrative only and not commitments.
  • SEO and marketing outcomes depend on many external factors beyond our control (including search algorithms, competition, and market conditions).

3. No Professional Advice

The Service and its output do not constitute legal, financial, tax, medical, or professional advice. You are solely responsible for seeking independent professional guidance where needed.

4. Disclaimer of Warranties

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of output
  • Uptime, availability, or freedom from interruptions or errors

We do not guarantee that content generated by the Service is free of errors, third-party rights, or legal risks.

5. Limitation of Liability

To the fullest extent permitted by law:

  • Prodmagic LLC, its officers, directors, employees, contractors, affiliates, and licensors shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages (including loss of revenue, profits, goodwill, business, or data), even if advised of the possibility of such damages.
  • The total aggregate liability of Prodmagic LLC for any claim shall not exceed the total fees you paid us in the twelve (12) months before the claim arose, or $10 USD, whichever is lower.

6. User Responsibilities

  • You are solely responsible for reviewing, editing, fact-checking, and ensuring compliance of any content generated before publication.
  • You assume all risks, including reputational, financial, or legal, arising from use of the Service.
  • You are responsible for obtaining necessary rights, licenses, and permissions for third-party content you use.

7. Third-Party Services

The Service may rely on or integrate with third-party platforms (such as Google, Shopify, or WordPress). We are not responsible for their availability, actions, or terms. Your use of third-party services is at your own risk and subject to their agreements.

8. Intellectual Property

  • All software, models, algorithms, branding, and platform rights belong to Prodmagic LLC.
  • You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription.
  • Content generated for you may be used at your own risk and responsibility.

9. Indemnification

You agree to indemnify, defend, and hold harmless Prodmagic LLC and its affiliates, employees, contractors, and officers from any claims, damages, liabilities, or expenses (including attorneys' fees) arising from:

  • Your use of the Service,
  • Content you publish or distribute,
  • Violation of these Terms, or
  • Violation of any law or third-party rights.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason. Upon termination, your license to use the Service ends immediately.

11. Governing Law & Disputes

These Terms shall be governed by the laws of the United States of America. Any disputes shall be resolved exclusively through binding arbitration, and you waive any right to participate in class actions or representative claims.

12. Changes to Terms

We may update these Terms at any time. Continued use of the Service after updates constitutes your acceptance of the revised Terms.
